Outsourcing Contract Flaws Essay

In any legal undertaking, contracts play a vital role in ensuring that the interests of both parties are served. Contracts serve as a binding agreement that the signatories should adhere to. In most cases, any violation of the provisions encompassed in a contract holds the erring party liable for breach of contract. When a contract is drafted, the lawyer or whoever is in charge of crafting it has the job of ensuring that both parties understand its provisions and making sure that the contents of the agreement are acceptable to both parties prior to signing the outsourcing agreement.  Ã‚   Consultation with the signatories is a vital requisite in developing a good contract. Outsourcing is one of the newest methods that firms utilize in order to hire personnel. Nowadays, one can easily find firms that specialize in outsourcing services. In this kind of business, an organization employs a service provider to handle various functions such as data entry, programming jobs, and others. Usually located in a foreign country, the outsourcing firm performs jobs that could otherwise be done by the employees of the organization. In a recent survey conducted internationally by the IT Governance Institute (ITGI), it was revealed that clients of outsourcing firms showed a great deal of dissatisfaction with the service provided by these firms. Because of this, the contracting organization made the crucial decision of prematurely severing their ties with the outsourcing firm (Simmonds & Gilmour, 2005). In the study, it was further discovered that among the 76 percent of the survey participants providing at least one outsourcing service, only 25 percent have an established method in managing their contracts (Simmonds & Gilmour, 2005). The Importance of Contracts in the Outsourcing Business Contracts play an important role in providing outsourcing services. It lays down the duties, roles, goals, and controls needed in anticipating change as well as in handling the development, maintenance, execution, pricing, and regulation of outsourced services(Simmonds & Gilmour, 2005). In addition, outsourcing contracts contains provisions that the service provider must follow in order to ensure a general, consistent, and efficient means of handling the outsourcing agreement. Contracts ensure the proper governance of outsourcing (Simmonds & Gilmour, 2005). Crafting a contract is by no means an easy job. In order to properly manage outsourcing services, the book entitled Governance of Outsourcing has laid down the following requisites of a good contract: –  Outsourcing contracts should indicate what activities are exempted from outsourcing. It should clearly identify the type of service offered. Complicated and permanent outsourcing requirements may require a more integrated approach (Simmonds & Gilmour, 2005). – Once the outsourcing strategy has been determined, service provider contracts must clearly point out the methods and structures of the outsourcing agreement. It should clearly establish the responsibilities, goals, and roles of the parties involved. This can be formalized through the creation of a governance schedule. Defective approaches should be taken out of the picture. If management is unable to handle such processes, it is unlikely for the outsourcing provider to handle these processes as well (Simmonds & Gilmour, 2005). – Good outsourcing contracts must have provisions that will clearly evaluate the competence of the people who will be involved in providing outsourcing. Likewise, there should be provisions for checking the credibility and reliability of the chosen service provider (Simmonds & Gilmour, 2005). – After a year of offering outsourcing, the service provider should work out a re-negotiation of the contract. If the terms of agreement has a global scope and the service is provided to several components of an organization, there should be supporting contracts for every country involved. Contract re-negotiation should be included in the standard operating procedure of the outsourcing firm (Simmonds & Gilmour, 2005). – Proper channelling of information should be established as this will ensure improved control instead of drawing reactions. Every communication resource should be utilized in order to guarantee that any human resource personnel involved is properly informed (Simmonds & Gilmour, 2005). – Any transfer of service connected to the agreement must be accompanied by a formal plan and should be acknowledged by the two parties involved in the process. Benchmarking and measurement should likewise be provided in order to properly manage project costing. This is an important aspect in the total conduct of negotiating for a contract (Simmonds & Gilmour, 2005). – Aside from daily monitoring, the contract should likewise provide for regular benchmarking. Stable governance should be dynamic. Through periodic benchmarking, the service provider will remain valuable and will become the foundation of decisions whether to proceed with contract re-negotiations or abolish the contract (Simmonds & Gilmour, 2005). The ITGI survey further revealed that among the organizations included in the study, the main reason why clients outsource is because there are not many people within the organization who have the expertise to perform such service. Forty eight percent of the surveyed organizations support this reason while the remaining 42 percent resort to outsourcing as a cost-reduction measure. However, minimizing costs is not as crucial as improving the value of the organization (Simmonds & Gilmour, 2005). There are various benefits that can be derived from outsourcing service. One of the major benefits of this kind of process is better quality of service. Since the organization paid the service provider who specializes in such kind of roles, the firm would have an assurance that the finished product would not be haphazardly done. Another advantage of outsourcing is improved handling of risks. Since the service provider is trained and experienced with the line of work they are paid to do, the risks involved will be much lesser. The outsourcing firm are more equipped to handle possible risks than an employee of the organization who might not have the time to troubleshoot risks. Likewise, there is no need for the organization to select and utilize its own personnel. Instead, the staff of the organization can focus their energy on performing more important and worthwhile activities. The last advantage of outsourcing is scalability. If the organization is satisfied with the performance of the outsourcing firm, it could require its services to perform other needs. For example, a service provider providing data entry functions for a certain organization may be expanded to perform database management duties as well. More and more organizations are realizing the importance of outsourcing as an effective means of strengthening the quality of their business. In order to completely maximize the many advantages of this process, there is a need to ensure the proper governance of these processes.   By drafting stable outsourcing contracts, service providers would be able to address and remedy any possible loopholes that may arise from the outsourcing agreement.  Ã‚   Thus, assuring that their customers are satisfied with the service they provide lies on how effective the outsourcing agreement is crafted by the service provider.   Otherwise, it could lead to a short-term and dissatisfied client.

Mucous membranes are the next line of defense in safe guarding the body against microorganisms. Mucus itself serves as a sort of trap for capturing incoming pathogens and then a means of expelling them from the body. Ethics ought to be and must be taught, its values cannot be managed; its a personal thing and is about standards. Ethical values translated into management behaviors can make the difference between employee satisfaction and frustration. Making good ethical decisions requires sensitivity to ethical issues and a practiced method for exploring the ethical aspects of a decision and weighing the considerations that should impact on course of action. Having a method for ethical decision making is absolutely essential. It is only by carefully exploring a problem, aided by the insights, intuition and different perspectives, can managers make good ethical choices in pressing needs. Minor moral behavior is usually an outcome of a decision process Moral and ethical behaviors are used interchangeably; this is because ethical behaviors are usually base on morals. Morality is usually used to refer to a code of conduct put forward by any actual group. Ethical behavior is acting in ways that is consistent with one personal values and the commonly held values of the organization and society Naran (1992) .Aristotles view of some of the key elements of a moral character includes Courage, which allows managers to assume reasonable risks when in dilemma, its demonstrate initiative but are not foolhardy. Temperance, which allows managers to channel their drives and ambitions in creative ways without being excessive. Justice, which is associated with trying to find a balance between competing forces, and which is essential in balancing stakeholders claims in addition to honesty, integrity etc. Managers are perceived to be morally upright whose responsibility is to make decisions that seek common good. Even though they are perceived this way, yet they have a choice to follow either their own values or the company values enshrine in CSR, which according to Institute of Business Ethics is the core values and codes of ethical behaviors that underpin everything that the business does and how a company chooses to interact with its global and local communities in the light of its values and ethics. It is also the area where the agency problem arises (i.e. the conflict of interest between managers and owners, where managers could forgo the interest of shareholders and work in their own self fish interest). For example Enrons Kenneth Lay had the choice between honoring shareholders or himself and he chose the latter over the former. Albert Carr in 1968 referred a decision maker as game player who cannot be trusted to accommodate all stakeholders in his decision. Because a business should not seek to satisfy goals other than seeking profit by legal and acceptable means Friedman (1790). What is acceptable means is where ethical behaviors are traded off. For instance, will a shareholder prefer to have more profit unethically? Are they just interested in returns which most of them do or seek the good for all? E.g. Cadbury was taken over by Kraft, the shareholder knew there would be jobs losses yet because of returns, they went ahead, were they seeking good for many or themselves?). Both Carr and Friedman appear to support aggressive profit chasing style of management but differ in the approaches. Carr is of the view that, the morality of the poker player is what counts which means that, the morality of the company should be burnt to favor that game player. But the question is how moral can a manger be trusted to be? WorldComs Bernie Ebbers was trusted for that, occupying a reputable position in a reputable company but what did he do? This is where Friedman assert ion that profit should be chased within the parameters of decency and legality is of great value in business ethics, which is the application of ethical values to business behavior and applies to any and all aspects of business conduct, from boardroom strategies to treatment of suppliers to sales techniques and accounting practices. Ethics goes beyond the legal requirements for a company and is, therefore, discretionary. Business ethics applies to the conduct of individuals and to the conduct of the organization as a whole. It is about how a company does its business, how it behaves intrinsically. Most companies seek to do business ethically in order to make profit but an ethical business, on the other hand has a much broader agenda and focuses on making a positive contribution to the community. For example a mainstream bank may take ethics seriously by taking responsibility for its negative impacts on society and the environment and seeking to minimize those impacts. An ethical ban k, such as The Co-operative Bank, states that it seeks to make the world a better place by taking a different approach to banking. In the case of this type of business, ethics becomes at least as high a priority as profitability. Many people are not religious, but ethics applies to everyone. Most religions do advocate high ethical standards but sometimes do not address all the types of problems we face. Yet where ethics are tied to religious belief there has been less misconduct. Ethics is not following the law. A good system of law does incorporate many ethical standards, but law can deviate from what is ethical. Law can become ethically corrupt, as some totalitarian regimes have made it. Law can be a function of power alone and designed to serve the interests of narrow groups. But if only ethics can be enforced most of the corrupt practices shall reduce. Ethics is not following culturally accepted norms but where ethics becomes a way of life there has been much result. A decision is usually a choice among alternatives (McManus, 2009). It is the study of identifying and choosing alternatives based on the values and preferences of the decision maker. But there are various obstacles to good decisions, because the manager has to rely on others to input, it can s low decisions down or tilt it wrongly such as lack of information and the too much of it, lack of technical expertise, lack of constructive criticisms, noncommittal, over confidence, prejudgment, reliance of past experience, supply of wrong information, dominance individuals etc. In all of these processes managers are expected to behave in a certain way (ethically). Because a company cannot be a moral agent but they are however held to the same standard as individuals, a manager personal morality should not be separated from business morality. This kind of extended family gives them a sense of stability. The culture is more of traditional gender egalitarianism with the father as the authority and the decision-maker. The Mexican males believe nothing must be done in such a way that it would tarnish their image as a man. The role of Mexican women has been homemaking and family, regardless of their great position in workplace. Education, title and family background provide social status, as they value title and position as important as money. They are more punctual and optimistic in calculating time. They are warm and gracious and give respect to their sense of time and traditions. Their organisation is more focussed on collectivism than on individualism which is again a hurdle for learning. They also take contracts inside the organisation for renegotiation than taking them as binding with and working on them by learning more new concepts. Moreover to all these Mexican organisational structures are more male dominant making the views of one gender of the society less or non expressive. This also contributes to the hurdles. All these factors make the Mexican culture as a less ideal environment in which to implement a learning strategy focussed on employee involvement and empowerment. EMPLOYEE MOTIVATION TO ENGAGE IN LEARNING: Equipos is a plastics producing company in an industrial city in the Gulf of Mexico. This plant is a technology-driven plant with employee strength of 170. In 1995 the company was bought by the American partner which was initially a joint venture with a Mexican partner. Initially there were Mexican managers heading the plant and the organisation was in the Mexican was of organisational culture. Then the employee empowerment began resulting in implementing self-managed teams. The teams divided functional roles within the team and the role of team leader changed every three months. The plant was down to three managers others becoming the team facilitators and served as team leaders in the absence of team leaders. Then the interviews were conducted asking the managers, facilitators how to reduce the cultural difference and the barriers in implementing learning. The interviewed Mexican managers, facilitators and employees who attended the meeting were asked for the direct feedback reduci ng the communication gap and also making them responsible towards the company. The teams also gave issues inside the plant with the problems they have and the management also believed in the employees and consequently trust built between the employees and the managers. By the way of having both horizontal and vertical way of communication and facilitating the reduction of hierarchical and moving towards flat organisational structure. There are lots of factors that surfaced in the process of doing the interviews and few of the important factors are going to be discussed. Environmental factors are being one of the most important factors in this case. The work stability over the region, the plant had an advantage of permanent work-force due to the family atmosphere in their region while others have high turnover rate due to constant mobility. They hired younger age employees who are more open to change and wanted to learn new things. The primary organisational factor they found was the joint venture between an U.S and a Mexican partner. The joint venture gave a Mexican top management team to afford a thorough understanding of the Mexican culture and aide in the implementing if these programs. The other factor is, the top management gave a management philosophy that geared towards the empowerment and learning. This was first initiated by the Mexican top management by approaching the U.S partner for management aide. One of the important factors in this case is the size of the plant with strength of 170 facilitating the implementation such programs. Equipos had basically three sets of H.R practices that facilitated the learning. First set of practices were the standard H.R practices that equipos implemented were self-managed team works, setting up clear goals, open communication, ongoing training, reward system, managers were given new roles. To attract and retain the skilled labour they gave the highest pay in the area. The second set of practices to say on a whole were on setting culture specific H.R practices such as retaining the Mexican managers and the other advantageous environmental factors that aided their implementation. The third set of practices was the most important one as it dealt with the translation of U.S MNCs practices to fit in with the Mexican. These three sets of practices contributed to the human resources practices of equipos. INTEGERATED MODEL: This integrated model of the relationship between organisational, environmental and HR practices on employee behaviour show the important environmental and organisational factors that influence the choice of HR practices to be implemented in these kind of culture adopting processes. These variables are similar to the exogenous and endogenous variables given by the Schuler, Budwar, and Florkowski but still the model is based on a case described in the articles by Negandhi and Prasad-1971, schuler-2002. This model highlights the critical importance of the HR practices that support the theories of IHRM that propose the HR practices that can be used to align the MNE goals and objectives with the host-country affiliate dynamics. This also shos the importance of HRM in the task of implementing practices that strategically deal with the challenges provide by the foreign environment. The model first the organisational factors that are to be taken into consideration, they are method of foundi ng joint venture play an important role in the understanding and getting adopted to the foreign environment. The management philosophy and management attitude towards the culture also plays key role in adopting or implementing new culture into an existing one. In addition to all these the ability to deal with the culture size is also given high priority. The environmental factors like national values, regional values, education also play a vital role. Here the socioeconomic and industrial factors also are added as factors in the environmental factors. Now keeping these organisational and environmental factors as variables important HR practices have been selected, first are the standard practices and then the culture-specific practices as the influence the people and can well understand the locals than anybody else. For this they retained the local managers and given them all the freedom to develop a trust between the employees and management. The final and the most important one is the translation of U.S MNC practices into such practices that can suite into the Mexican environment as the practices implemented as like the same will not be accepted in any foreign environment. All the factors, human resource practices all integrated together give a model that was very helpful in implementing organisational learning. CONCLUSION: From the case study we saw how a foreign organisational culture can be implemented into an existing culture. This is to the extent that the management culture which is not congruent to the countrys culture can be also implemented with the help of HR practices. Even though both the organisational and environmental factor are taken as variables for the deciding of HR practices, the environmental factors have influence on the organisational factors or it can also be said it is highly influenced by the environmental factors. This is also shown in the model as the flow from the environmental factors goes to all the boxes in the model, to HR practices, to organisational factors and also to the organisational employee behaviour and culture. The high light of this study is importance of joint venture in the cross-culture management. But when ever implementing cross-cultures the size and the age of the plant must be taken into account as an important caution factor. Thus we studied about the Equipos case study and how it motivated its employees in becoming engaged to an unfamiliar strategy. Also thus we studied about the different cultures and how to manage changes in cross-culture making us easy to implement any strategies in a management in any culture.

Learning Objectives †¢ The first learning objective is to describe the Ballard scales used in assessing the newborn.†¢ The second learning objective is to define the purposes of the scales. †¢ The third learning objective is to explain the importance of the newborn’s Ballard scores. †¢ The fourth learning objective is to describe normal and abnormal gestational age relative to the weight of the newborn. Definitions †¢ The first definition of the Ballard test is to determine normal and abnormal features of a newborn. †¢ The second definition of the Ballard test is to determine normal neurological responses of a newborn.†¢ The third definition of the Ballard test is to discern normal physiologic al features of a newborn. †¢ The fourth definition of the Ballard test is to determine the gestational age of the newborn and the correlation between the gestational age and the weight of the newborn. Teaching Methodology †¢ A prior knowledge of embryology and fetal physiology is helpful. A basic knowledge of antepartum and intrapartum care is necessary. As well as familiarity with maternal screening tests and common maternal complications that may arise.†¢ Develop questions to be asked in order to gather information and history related to pregnancy, labor and delivery. †¢ List the key elements of the physical assessment of a newborn. †¢ Discuss how all of these elements in conjunction with the Ballard test can determine the gestational age of the newborn. †¢ Identify the important indicators of gestational maturity and immaturity. †¢ Discuss the effects that gestational age has on a newborn. †¢ Discuss the transition of the newborn from the w omb into the environment.A Nursing diagnosis or NANDA †¢ Actual diagnosis – Ineffective airway clearance related to decreased energy as manifested by an ineffective cough. †¢ Risk diagnosis – Risk for injury related to altered mobility and disorientation. †¢ Possible diagnosis – Possible fluid volume deficit related to frequent vomiting for three days as manifested by increased pulse rate. †¢ Syndrome diagnosis – Rape-trauma syndrome related to anxiety about potential health problems as manifested by anger, genitourinary discomfort, and sleep pattern disturbance.†¢ Wellness diagnosis – Potential for enhanced organized infant behavior, related to prematurity and as manifested by response to visual and auditory stimuli.
